By posting Member Content to any part of the Web site, you automatically grant, and you represent and warrant that you have the right to grant, to PlaceSite an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, perform, display, reformat, translate, excerpt (in whole or in part) and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing.

Governing Law and Venue
If there is any dispute about or involving the Web site and/or the Service, you agree that the dispute will be governed by the laws of the State of California without regard to its conflict of law provisions. You also agree to the exclusive jurisdiction and venue of the courts of the state and federal courts of San Francisco County, California and waive all defenses of lack of personal jurisdiction and forum non conveniens.
